AeroFarms Signs Letter of Intent to Sell Facility

Since its last notice in late January, AeroFarms has provided another update regarding the potential closure and operational timeline of its Virginia facility. 

In a WARN Notice filed on Dec. 11, 2025, AeroFarms announced it would be closing operations at its facility in Ringgold, Va., primarily due to a lack of funding from a withdrawn investor. 

This news was followed by updated WARN notices moving its closure date from Dec. 19, 2025, to Jan. 16, 2025, and then to Feb. 27, 2026. 

A Potential Buyer for the Ringgold Facility

On Feb. 27, 2026, New AeroFarms, Inc. and AeroFarms Danville Farming Company LLC signed a nonbinding Letter of Intent with a potential buyer of its Ringgold, Va., facility, with the aim to close the sale in March 2026. 

As a result of this development, the companies’ lender has agreed to provide the facility with additional short-term funding to maintain operations during the period leading up to the completion of a sale. However, if a sale is not finalized with the buyer, and no additional funding source is secured, the facility expects to shut down between March 17 and March 31, 2026.

The Status of Affected AeroFarms’ Employees

Beyond this new closure timeline, updates on employees at the Ringgold facility are as follows: 

The facility’s remaining remote employees (13) are still temporarily furloughed. All 145 remaining employees (including remote employees, and 115 of whom are Virginia residents) will be permanently terminated if the facility closes. However, a small number of employees may be temporarily retained to assist with shutting down operations.
